1) Agreement to Terms
By accessing [borderlandsmarket.com] (the “Site”), applying as a vendor, purchasing or reserving a booth or ticket, attending an event, or interacting with our services (collectively, the “Services”), you agree to be bound by these Terms & Conditions and our Privacy Policy and Accessibility Statement. If you do not agree, do not use the Services.
2) Who We Serve
You must be at least 18 years old (or have a parent/guardian’s consent) to apply as a vendor or make purchases. You represent that you have authority to accept these Terms on behalf of yourself or your business.
3) Event Participation & Vendor Applications

Application review: Vendor applications are curated and reviewed at our discretion. Submitting an application does not guarantee acceptance.

One-time application: Unless otherwise stated, acceptance qualifies you to apply or register for future markets without reapplying, subject to availability and category limits.

Category & placement: We may limit categories and assign or reassign booth locations as needed for event flow and safety.

Compliance: Vendors must comply with all event rules, venue policies, local laws, and health/safety requirements.
4) Fees, Deposits, and Deadlines

Pricing: Booth fees and add-ons (e.g., corner spots, power, extra space) are listed on the Site/event page. Prices may change at any time before purchase.

Payment: Spaces are first-come, first-served upon payment in full unless a deposit plan is explicitly offered.

Deposits (if offered): Deposits are non-refundable and applied to the final balance. Missed balance deadlines may result in forfeiture of the spot without refund.

Past-due: Unpaid or late balances may lead to loss of placement and waitlist reassignment.
5) Refunds, Rollovers, and Transfers

Standard policy: Unless we cancel an event in full, all sales are final and non-refundable.

Rollovers: Rollovers are not guaranteed and are granted only if expressly offered in writing for a specific event or circumstance.

Vendor-to-vendor transfers: If allowed, any transfer must be pre-approved in writing by us. The incoming vendor must meet our acceptance criteria and product guidelines. Unapproved transfers or resale of spaces are prohibited.

6) Load-In/Out, Equipment & Power

Arrival/teardown: Follow the load-in/out windows and traffic flow directions provided in vendor emails and onsite signage. No early teardown unless authorized by staff for safety.

Equipment: Vendors must bring their own 10×10 canopy (unless otherwise stated), weights, tables, lighting, and extension cords.

Power: Electricity is not guaranteed. If offered, power is limited and may require an additional fee. Generators must be quiet, safe, and comply with venue rules.

Cleanliness: Keep your area clean and remove all trash and packing materials at the end of the event.
7) Permits, Food Safety & Insurance

Compliance: Food/beverage vendors must hold all required permits, inspections, and insurance (e.g., health department permits, food handler cards, cottage food compliance).

Sampling & sales: Vendors are responsible for understanding and following local laws on sampling, labeling, and sales tax collection/remittance.

Insurance: We may require proof of general liability insurance naming Borderlands Market and venue partners as additional insureds.
8) Code of Conduct
We strive for a welcoming, family-friendly environment. We prohibit harassment, hate speech, dangerous behavior, counterfeit goods, and illegal or prohibited items (including weapons, drug paraphernalia, and explicit content). We may remove any vendor or attendee who violates these standards without refund.
9) Cancellations, Weather & Force Majeure

Our cancellation: If we cancel an event in full (not due to force majeure), we will provide the remedy communicated at that time (e.g., refund or credit/rollover).

Weather: Events are commonly rain or shine. Weather conditions alone typically do not constitute a cancellation.

Force majeure: We are not liable for delays or cancellations due to causes beyond our reasonable control (e.g., severe weather, government orders, public health directives, labor disputes, utility outages, acts of God). In such cases, remedies (if any) are at our discretion.
10) Photography, Media & Likeness
By entering the event area, you consent to photography, audio, and video recording that may include your image, voice, or booth. We may use such content for promotional and archival purposes without compensation. Vendors grant us a non-exclusive license to use submitted logos/product photos for event marketing.
11) Intellectual Property
All Site content (text, graphics, logos, layouts) is our property or licensed to us and protected by law. You may not copy, modify, or distribute Site content without permission. Vendor trademarks remain the property of their respective owners.
12) User Content & Reviews
If you post or submit content to us (e.g., testimonials, photos, social media posts), you grant us a non-exclusive, worldwide, royalty-free license to use, reproduce, and display that content for promotional purposes, subject to your privacy rights.
13) Online Orders, Tickets & Promotions (If Applicable)

Tickets/passes: Lost, stolen, or damaged passes may not be replaced. Resale may be restricted.

Discount codes: Codes are limited-time, non-transferable, and may be revoked or modified at any time.

14) Accessibility

15) Third-Party Services
Our Site may integrate third-party tools (e.g., Wix, Stripe, Square, Google, social platforms). We are not responsible for third-party sites or services. Your use of them is governed by their terms and policies.
16) Safety & Assumption of Risk
Outdoor markets involve inherent risks (e.g., weather, uneven surfaces, crowding). By participating or attending, you assume all such risks to the maximum extent permitted by law and agree to follow staff instructions and posted signage.
17) Release of Liability; Indemnification
To the fullest extent permitted by law, you release and hold harmless Borderlands Market, its owners, staff, volunteers, contractors, and venue partners from claims arising from your participation or attendance, except to the extent caused by our gross negligence or willful misconduct.
You agree to indemnify and defend us against claims, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising from your (or your employees’/agents’) breach of these Terms, violation of laws, or negligent acts/omissions.
18) Limitation of Liability
To the maximum extent permitted by law, our total liability for any claim arising out of or relating to the Services shall not exceed the amount you paid to us for the applicable event or $100, whichever is greater. We are not liable for indirect, incidental, consequential, special, or punitive damages.
19) Communications Consent
By providing your email or phone number, you consent to receive service communications (acceptances, logistics, policy updates). If you opt in to marketing, you may unsubscribe at any time; for SMS, text STOP to cancel and HELP for help. Message/data rates may apply.
20) Privacy
Your use of the Services is also governed by our Privacy Policy, which explains how we collect, use, and share information.
21) Disputes, Governing Law & Venue
These Terms are governed by the laws of the State of Arizona, without regard to conflict-of-laws rules.
Venue: State and federal courts located in Pima County, Arizona shall have exclusive jurisdiction, unless otherwise required by law.
Arbitration: Any dispute arising out of these Terms will be resolved by binding arbitration in Pima County, Arizona, administered by [AAA/JAMS] under its rules. You waive any right to a jury trial. Small claims court claims may proceed.
22) Severability & Waiver
If any provision of these Terms is found unenforceable, the remaining provisions remain in effect. Our failure to enforce a right is not a waiver of that right.
23) Changes to These Terms
We may update these Terms at any time. The updated version will be posted on the Site with a new effective date. Material changes will be highlighted for a reasonable time. Continued use of the Services after changes means you accept the updated Terms.
